2. Eligibility

Our products are intended for professional and wholesale use. By placing an order or requesting a quote, you represent that you are a business entity, salon owner, spa operator, distributor, or authorized purchasing agent acting on behalf of a professional organization.

3. Products and Orders

All products listed on the Site are for wholesale, professional, and commercial use.
Product specifications, images, and descriptions are provided for informational purposes. While we strive for accuracy, minor variations in color, dimensions, or design may occur.
We reserve the right to modify or discontinue any product without prior notice.
All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our discretion.
Minimum order quantities (MOQ) may apply to certain products. Please contact us for details.

4. Pricing and Payment

All prices are quoted in US Dollars (USD) unless otherwise stated.
Prices are subject to change without notice. The price applicable to your order will be the price confirmed at the time of order acceptance.
Payment terms are agreed upon during the quotation and order confirmation process. Accepted payment methods include bank transfer (T/T), Letter of Credit (L/C), and other methods as mutually agreed.
All applicable taxes, duties, and customs fees are the responsibility of the buyer unless otherwise agreed in writing.

5. Shipping and Delivery

Shipping costs, methods, and estimated delivery times will be specified in your order confirmation or proforma invoice.
Delivery timelines are estimates and not guaranteed. We are not liable for delays caused by customs clearance, carrier issues, weather conditions, force majeure events, or other circumstances beyond our reasonable control.
Risk of loss and title for products pass to you upon delivery to the carrier. We recommend purchasing shipping insurance for high-value orders.
Upon receipt, you must inspect all products and report any damage or discrepancies within 48 hours of delivery.

6. Returns and Refunds

Due to the nature of wholesale B2B transactions, all sales are final unless otherwise agreed in writing.
If products arrive damaged or defective, you must notify us within 48 hours of delivery with photographic evidence. We will evaluate the claim and, at our discretion, offer a replacement, repair, or refund for the affected items.
Custom or made-to-order products are non-returnable and non-refundable.
Return shipping costs are the responsibility of the buyer unless the return is due to our error.

7. Warranty

Our products come with a manufacturer’s warranty against defects in materials and workmanship. Warranty period and coverage vary by product category.
The warranty does not cover damage resulting from normal wear and tear, misuse, improper installation, unauthorized modifications, or failure to follow care and maintenance instructions.
Warranty claims must be submitted in writing with proof of purchase and supporting documentation.

8. Intellectual Property

All content on the Site, including text, images, logos, graphics, product designs, trademarks, and software, is the exclusive property of NovaBeauty or its licensors and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Site content without our prior written consent.
Product images and descriptions may not be used for commercial purposes without authorization.

9. User Conduct

When using the Site, you agree not to:

Violate any applicable laws or regulations.
Submit false, misleading, or fraudulent information.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in accordance with applicable rules.

14. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war, terrorism, civil unrest, government actions, pandemics, labor disputes, supply chain disruptions, or telecommunications failures.
